By accessing or using the Timpe ERP platform ("Service"), you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Service. These terms constitute a legally binding agreement between you and Timpe ERP Private Limited.

Timpe ERP is a cloud-based Enterprise Resource Planning (ERP) platform designed for Indian MSMEs. The Service includes: • Cloud accounting and double-entry bookkeeping • GST compliance (GSTR filing, e-Invoice, e-Way Bill generation) • Inventory management with barcode and serial tracking • AI-powered business intelligence and analytics • Multi-company and multi-user management • Automated notifications via WhatsApp, SMS, and email • 75+ business reports with PDF/Excel export

• You must provide accurate, complete, and current information during registration. • You are responsible for maintaining the confidentiality of your login credentials. • You must notify us immediately of any unauthorized access to your account. • We reserve the right to suspend or terminate accounts that violate these terms. • Each user account is for a single individual and may not be shared.

• Timpe ERP offers paid subscription plans (Prime, Advance, Enterprise) billed in Indian Rupees (INR). • Plans are available on annual (1-year) and multi-year (3-year) billing cycles. • All prices are exclusive of applicable GST (18%). • Payment is due at the start of each billing cycle. • Prices may change with 30 days' advance notice. Existing subscriptions remain at their current rate until renewal. • Refunds are processed as per our 30-day money-back guarantee for new subscriptions.

• We offer a 14-day free trial with full access to Advance plan features. • No credit card is required to start a trial. • Trial data is automatically retained if you subscribe within 7 days of trial expiration. • We reserve the right to modify or discontinue the free trial offering at any time.

You agree NOT to: • Use the Service for any unlawful purpose or to facilitate illegal activities • Attempt to gain unauthorized access to our systems or other users' accounts • Transmit viruses, malware, or any harmful code • Reverse engineer, decompile, or disassemble any part of the Service • Use the Service to store or transmit content that infringes intellectual property rights • Exceed reasonable usage limits or abuse the Service in a manner that degrades performance for other users

• The Timpe ERP platform, including its design, code, features, logos, and documentation, is the intellectual property of Timpe ERP Private Limited. • You are granted a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription. • You may not copy, modify, distribute, or create derivative works based on our platform.

• **You own your data.** All business data, financial records, invoices, and other information you enter into Timpe ERP remains your property. • You can export your data at any time in standard formats (CSV, Excel, PDF). • We will not access, use, or share your data except as necessary to provide the Service or as required by law. • Upon account termination, you may request a full data export within 30 days.

• To the maximum extent permitted by Indian law, Timpe ERP Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages. • Our total liability for any claims arising from the Service shall not exceed the amount paid by you in the 12 months preceding the claim. • We are not liable for losses arising from: (a) your failure to maintain accurate data, (b) unauthorized access due to your negligence, (c) force majeure events, or (d) third-party service failures.

You agree to indemnify and hold harmless Timpe ERP Private Limited, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) inaccurate data you submit to the platform.

• You may terminate your account at any time by contacting support or through account settings. • We may terminate or suspend your access for violation of these Terms, with notice where practicable. • Upon termination, your right to use the Service ceases immediately. • We will retain your tax-related financial data for 7 years as required by Indian law.

These Terms shall be governed by and construed in accordance with the laws of India, including but not limited to: • The Information Technology Act, 2000 • The Indian Contract Act, 1872 • The Consumer Protection Act, 2019 • The Goods and Services Tax Act, 2017

• Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. • If negotiation fails, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Ahmedabad, Gujarat. • The courts of Ahmedabad, Gujarat shall have exclusive jurisdiction over any legal proceedings.
